These Terms of Service ("Terms") govern your access to and use of the services provided by SecPull Limited ("SecPull", "we", "us", or "our"), a company registered in Hong Kong. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our API, or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this age requirement.

2. Description of Services

SecPull provides a financial data API that delivers aggregated and verified financial information extracted from primary sources, including SEC filings, company annual reports, earnings releases and official disclosures. Our services are designed for integration with AI agents and automated systems.

3. Account Registration

To access our services, you must create an account using Google Sign-In. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. API Keys

Upon registration, you will receive an API key to access our services. You agree to:

• Keep your API key confidential and secure
• Not share your API key with unauthorized parties
• Not sell, transfer, or sublicense your API key
• Immediately regenerate your API key if you believe it has been compromised

5. Subscriptions and Payments

Billing

Our services are offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. All payments are processed securely through Stripe.

Subscription Terms

• Monthly subscriptions renew automatically each month
• Yearly subscriptions renew automatically each year
• You may cancel your subscription at any time through your dashboard
• Cancellations take effect at the end of the current billing period

Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe you are entitled to a refund, please contact us at contact@secpull.com.

Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

6. Usage Limits and Rate Limiting

Your subscription plan includes a specified number of API requests. We may implement rate limiting to ensure fair usage and service stability. If you exceed your plan limits:

• Additional requests may be charged on a pay-as-you-go basis (if enabled)
• Requests may be throttled or denied until the next billing period

Enterprise customers may negotiate custom usage terms.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt our services or servers
• Reverse engineer, decompile, or disassemble our services
• Resell or redistribute our data without authorization
• Use our services for any illegal, fraudulent, or harmful purpose
• Circumvent any rate limits or usage restrictions

8. Data and Financial Information Disclaimer

Important: The financial data provided through our services is sourced from publicly available documents and is intended for informational purposes only. While we strive for accuracy:

• We do not guarantee the accuracy, completeness, or timeliness of any data
• Our data should not be considered as financial, investment, legal, or tax advice
• You should verify all information independently before making any decisions
• We are not responsible for any errors or omissions in the source documents

SecPull is not a registered investment adviser, broker-dealer, or financial planner. Our services do not constitute a recommendation to buy, sell, or hold any securities.

9. Intellectual Property

All intellectual property rights in our services, including but not limited to software, APIs, documentation, and branding, are owned by SecPull or our licensors. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

You retain ownership of any applications or systems you build using our API.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless SecPull, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services or violation of these Terms.

12. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of planned maintenance when possible.

13. Termination

We may suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use our services will immediately cease
• Your API key will be revoked
• We may delete your account data in accordance with our Privacy Policy

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SecPull regarding the use of our services and supersede any prior agreements.
